Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the website and services provided by Barb's Revision ("we," "our," or "us"), an AI automation agency based in Ontario, Canada. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services
Barb's Revision provides AI automation systems and related services for service-based businesses, including but not limited to:
- The Revision Engine (AI voice receptionist, lead qualification, appointment booking, CRM automation, follow-up automation)
- Add-on and custom automation systems
The specific scope of services for each client is defined in a separate written agreement or statement of work. These Terms apply in addition to any such agreement.
3. AI Strategy Blueprint
The AI Strategy Blueprint is a diagnostic tool intended to help prospective clients understand where automation may improve their business operations. It is provided as an informational resource and does not constitute a guarantee of outcomes, results, or specific system performance. Completion of the Blueprint does not obligate either party to enter into a service agreement.
4. Scope of Work and Changes
All implementation work is scoped based on the client's specific workflows, tools, and business requirements. Any changes to the agreed scope of work must be discussed and confirmed in writing. Additional work outside the agreed scope may be subject to additional fees.
5. Client Responsibilities
To enable effective implementation, clients agree to:
- Provide accurate and complete information about their business workflows and systems
- Grant necessary access to tools, platforms, and accounts required for implementation
- Participate in onboarding and review sessions as reasonably required
- Designate a point of contact for communication during implementation
Delays caused by lack of client participation, access, or information may affect timelines and are not the responsibility of Barb's Revision.
6. Payment
Payment terms are defined in each client's individual service agreement. Unless otherwise stated:
- Invoices are due upon receipt or as specified in the agreement
- Late payments may result in a pause of work until the outstanding balance is settled
- All fees are in Canadian dollars unless otherwise agreed
Barb's Revision reserves the right to adjust pricing for new engagements with reasonable notice.
7. Cancellation and Termination
Either party may terminate a service agreement with written notice as specified in that agreement. Upon termination:
- All fees for work completed up to the termination date are due and payable
- Client data held by Barb's Revision will be handled in accordance with our Privacy Policy
- Access to any systems built by Barb's Revision on behalf of the client will be transferred or removed as agreed
8. Intellectual Property
Unless otherwise agreed in writing:
- Custom systems and automations built for a client become the property of the client upon full payment
- Barb's Revision retains ownership of underlying frameworks, templates, methodologies, and proprietary tools used in delivery
- Clients may not resell, redistribute, or sublicense Barb's Revision's proprietary systems or workflows without written consent
9. Limitation of Liability
Barb's Revision provides its services in good faith and with reasonable care. However, we do not guarantee specific business outcomes, lead volumes, revenue results, or system uptime dependent on third-party platforms.
To the maximum extent permitted by law, Barb's Revision's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.
We are not liable for indirect, incidental, or consequential damages including loss of revenue, loss of data, or business interruption.
10. Third-Party Platforms
Our systems are built on third-party platforms including Make.com, Vapi, Airtable, PandaDoc, and others. We are not responsible for downtime, policy changes, or service interruptions caused by these platforms. We will take reasonable steps to notify clients of material platform changes that may affect their systems.
11. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of engagement, including business processes, pricing, and system configurations. This obligation survives termination of the service agreement.
12. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
13. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
